it is rate of change of slope. For eg., in a displacement-time graph the slope dy/dx give the velocity while d^2y/dx^2 give you rate of change of velocity i.e. acceleration.

The significance of d^2y/dx^2 is that it gives an idea about the shappe of the curve which represent the function y = f(x). If the value of d^2y/dx^2 at a pont is +ve it implies that the graph is curving further up (minima) and if it is _ve then it is curving down (maxima).
